KIOKO TERMS OF SERVICE

These Terms of Service (“Terms”) constitute a binding legal agreement between you (“you,” “user,” or “customer”) and KIOKO, LLC, a Virginia limited liability company doing business as Kioko Clothing Company (“KIOKO,” “we,” “us,” or “our”). By accessing or using our website, www.kiokoclothingco.com (“Site”), purchasing products, engaging with our services, or interacting with our digital platforms, you agree to comply with and be bound by these Terms, including our Privacy Policy, Return Policy, and all other policies referenced or made available via hyperlink. If you do not agree with these Terms, you must not use our Site or services. These Terms apply to all users of the Site, including without limitation users who are browsers, customers, merchants, or contributors of content.

1. LEGAL ENTITY AND CONTACT INFORMATION
KIOKO, LLC operates under the registered trade name Kioko Clothing Company. Our principal mailing address is 1490-5A Quarterpath Rd., PMB 356, Williamsburg, VA 23185. All legal or customer inquiries can be directed to us via email at legal@kiokoclothingco.com or via our customer service chat on the website. For faster resolution of issues, please include your order number and relevant details when submitting any inquiry.

2. ACCEPTANCE OF TERMS AND ELIGIBILITY
By accessing this Site or purchasing any product or service, you represent that you are at least 18 years of age or the legal age of majority in your jurisdiction. If you are using the Site on behalf of a business or legal entity, you represent that you have the authority to bind that entity to these Terms. You agree to use the Site for lawful purposes only and in accordance with all applicable local, state, national, and international laws and regulations.

3. MODIFICATION OF TERMS
We reserve the right, at our sole discretion, to update, modify, or replace any part of these Terms by posting changes to the Site without prior notice. It is your responsibility to check this page periodically for changes. Your continued use of or access to the Site following the posting of any changes constitutes acceptance of those changes.

4. PRODUCT ORDERS, PRICING, AND ACCEPTANCE
All orders placed through our Site are subject to acceptance by KIOKO. We reserve the right to refuse, limit, or cancel any order at our discretion. Orders that appear to be placed by dealers, resellers, or distributors may be refused. Product pricing is subject to change without notice. We make reasonable efforts to display accurate pricing and product information; however, we do not warrant that any product description or other content is error-free. In the event of a pricing or product description error, we reserve the right to correct such errors and cancel or revise the order accordingly. All prices are listed in U.S. Dollars (USD). Sales tax may be added where applicable.

5. PRODUCTION AND FULFILLMENT TIMELINES
For standard, non-custom items, typical production begins after order verification and is completed within three (3) to five (5) business days. For custom orders, including decorated apparel and print-on-demand services, production is completed within three (3) to fourteen (14) business days following digital proof approval. Larger orders exceeding the 300 qty items may have longer processing timeframes which will be identified during the invoicing process. Klarna cannot be used for items requiring production timeframes exceeding 14 business days. Orders placed on weekends or holidays begin processing the next business day. Rush order processing may be available and must be arranged in writing. Production timelines are estimates and are not guaranteed. Production delays may occur due to file submission issues, supplier shortages, equipment malfunction, or unforeseen events.

6. SHIPPING, DELIVERY, AND INSURANCE
Shipping occurs after production is complete and is separate from production timelines. KIOKO is not responsible for lost, damaged, or delayed shipments unless Route Package Protection was purchased at checkout. Claims for damaged goods require photographic evidence of both the packaging and affected items within 72 hours of delivery. All shipping estimates provided at checkout are based on carrier delivery standards and are not guarantees. We are not responsible for customs duties, taxes, or import fees for international shipments. Shipping fees are nonrefundable.

7. RETURNS, REFUNDS, AND EXCHANGES
All return and refund requests must be initiated within fourteen (14) calendar days of confirmed delivery. Return Merchandise Authorization (RMA) is required before returning any item. Unauthorized returns will not be processed. Acceptable reasons for return include, but are not limited to: damaged items, incorrect product shipped, products with verifiable errors, or orders that failed to meet mutually agreed-upon deadlines. Items must be returned in new, unused condition with original packaging. Refunds are no longer issued back to the original form of payment or by check, except in cases where the return is due to damage, incorrect shipment, or other verified fault of Kioko Clothing Company. All approved returns—whether Online or In‑Store—will be processed as instant e‑gift‑card credit. In the case of a damaged or incorrect item, we will first attempt to exchange the product for the exact same item. If the item is no longer available, we may issue a refund to the original form of payment.

8. CANCELLATION POLICY
Orders may only be canceled, no hassle, within one (30) mins of placement directly from the customers order history page. Cancellations on in-stock inventory after this window and within 24hrs are subject to a 20% cancellation/restock fee if processing has not begun. Same-day and rush orders are ineligible for cancellation. If production has started, cancellations will not be accepted. Cancellations will not be honored after 24hrs of purchase. If an order has printed but not shipped, only the shipping fee may be refunded. Contact orders@kiokoclothingco.com.

9. FILE SUBMISSIONS AND ARTWORK APPROVAL
Customers are responsible for submitting print-ready files in SRGB or CMYK format with all fonts outlined and no embedded color profiles. Artwork must be 300dpi. Proofs must be requested at time of purchase and are $5; post-production changes are not accepted. If no proof is requested, the file will print as submitted. Color accuracy is not guaranteed due to screen-to-print differences. Any file-related errors identified after production has begun are the customer’s responsibility. We retain submitted files for up to one (1) year but are not liable for loss due to system failure or storage corruption.

10. INTELLECTUAL PROPERTY AND COPYRIGHT CLAIMS
By submitting any design, file, logo, or intellectual property to us for production, you affirm that you have full legal rights to use and reproduce the material. KIOKO does not knowingly print copyrighted or trademarked material without authorization. If requested, you must provide legal documentation proving permission. Orders with unverified IP ownership may be placed on hold or canceled. We reserve the right to reject any artwork at our discretion.

11. LAYOUT & CUSTOM DESIGN SERVICES
Design service fees are nonrefundable and do not include rights to the final artwork unless explicitly licensed in writing. Customers are permitted one (1) free layout revision and up to two (2) free custom design revisions, small details, not altering the design that has been composed simply adding too or subtracting from it. Additional changes are subject to a $10 fee per revision or a $30 fee per redesign. KIOKO, LLC retains the copyright to all artwork created unless a commercial license agreement is executed in writing. Please be advised that Klarna cannot be used for the booking or payment of any services, including layout services, design consultations, or custom artwork requests.

12. SMS/MMS MARKETING TERMS
By subscribing to our SMS/MMS marketing program, you consent to receive automated text messages about orders, promotions, and updates. Message frequency varies. Message and data rates may apply. Reply “STOP” to opt out or “HELP” for assistance. Consent is not a condition of purchase. You are responsible for maintaining an accurate mobile number and indemnify us against any claims arising from outdated or incorrect information.

13. LIMITATION OF LIABILITY AND DISCLAIMERS
All products and services are provided “as is” and “as available” without warranties of any kind, express or implied. We do not guarantee uninterrupted or error-free service. To the fullest extent permitted by law, KIOKO, LLC disclaims all liability for indirect, incidental, or consequential damages. Our total liability shall not exceed the purchase price of the product in question.

14. DISPUTE RESOLUTION AND ARBITRATION AGREEMENT
By using this Site, you agree to resolve all disputes through binding individual arbitration in accordance with the rules of the American Arbitration Association. You waive your right to participate in class actions or jury trials. This arbitration agreement shall survive termination of your relationship with KIOKO. Claims for intellectual property infringement or those that may be brought in small claims court are exempt from this provision.

15. GOVERNING LAW AND VENUE
These Terms and your use of the Site shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions. Any legal proceeding that is not subject to arbitration shall be brought in the state or federal courts located in Williamsburg, Virginia.

16. ENTIRE AGREEMENT
These Terms, along with our Privacy Policy, Return Policy, and all other incorporated policies, constitute the entire agreement between you and KIOKO, LLC and supersede any prior agreements, communications, or understandings, whether written or oral.
